These Terms of Service ("Terms") govern your use of Sora Wallet ("Sora", "we", "us", "our"). By accessing or using Sora, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Service Description

Sora Wallet is a non-custodial cryptocurrency wallet designed for the Sui blockchain. Sora provides software that allows you to:

  • Generate and manage cryptographic key pairs
  • Store, send, and receive digital assets on the Sui network
  • Interact with decentralized applications (dApps)
  • View transaction history and asset balances

Sora is an interface to the Sui blockchain. We do not control the blockchain, process transactions, or custody your assets. You maintain full control and responsibility over your funds.

2. Eligibility

To use Sora, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding agreements
  • Not be prohibited from using cryptocurrency services under applicable laws
  • Not be located in, or a resident of, any jurisdiction where cryptocurrency services are prohibited
  • Not be on any sanctions list or associated with sanctioned entities

3. Self-Custody and Your Responsibilities

3.1 You Control Your Keys

Sora is a non-custodial wallet. Your seed phrase (recovery phrase) and private keys are generated on and stored exclusively on your device. We never have access to them. This means:

  • You are solely responsible for securing your seed phrase
  • If you lose your seed phrase, you permanently lose access to your assets
  • We cannot recover your wallet, reset your password, or reverse transactions
  • We cannot freeze, seize, or access your funds under any circumstances

3.2 Security Obligations

You agree to:

  • Securely store your seed phrase offline, in multiple secure locations
  • Never share your seed phrase, private keys, or wallet credentials with anyone
  • Use strong authentication methods (PIN, biometrics) when available
  • Keep your device and Sora app updated
  • Verify all transaction details before signing
  • Be vigilant against phishing, scams, and malicious dApps

4. Prohibited Uses

You agree not to use Sora to:

  • Violate any applicable laws, regulations, or sanctions
  • Engage in money laundering, terrorist financing, or other financial crimes
  • Evade taxes or conduct tax fraud
  • Conduct transactions involving proceeds of illegal activity
  • Interfere with or disrupt the integrity of Sora or the Sui network
  • Attempt to gain unauthorized access to our systems or other users' wallets
  • Distribute malware, viruses, or malicious code
  • Conduct any activity that could harm Sora, its users, or the Sui ecosystem

5. Disclaimers

5.1 "As Is" Basis

Sora is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

5.2 No Financial Advice

Sora does not provide financial, investment, tax, or legal advice. Any information displayed in the app (including asset prices, valuations, or market data) is for informational purposes only and should not be relied upon for financial decisions. Consult qualified professionals before making investment decisions.

5.3 Blockchain Risks

You acknowledge and accept the inherent risks of blockchain technology, including but not limited to:

  • Volatility and potential total loss of digital asset value
  • Irreversibility of blockchain transactions
  • Smart contract vulnerabilities and exploits
  • Network congestion, delays, or failures
  • Regulatory uncertainty and potential changes in law
  • Technical failures, bugs, or security breaches
  • Forks, protocol changes, or network discontinuation

5.4 Third-Party Services

Sora may integrate with third-party services including decentralized applications, swap protocols, bridges, and data providers. We do not control, endorse, or assume responsibility for these services. Your use of third-party services is at your own risk and subject to their respective terms.

6. Limitation of Liability

To the maximum extent permitted by law, Sora, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of funds, assets, or profits
  • Loss of data or access to your wallet
  • Failed, delayed, or incorrect transactions
  • Unauthorized access to your wallet or credentials
  • Errors in displayed information (prices, balances, etc.)
  • Downtime, interruptions, or service unavailability
  • Actions or omissions of third parties
  • Any other damages arising from your use of Sora

In no event shall our total liability exceed the amount you paid to us (if any) in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Sora and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of Sora
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Any dispute between you and a third party

8. Intellectual Property

Sora and its original content, features, and functionality are owned by us and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services or software without explicit written permission.

"Sora", the Sora logo, and related marks are our trademarks. You may not use them without prior written consent.

9. Service Modifications and Termination

We reserve the right to:

  • Modify, suspend, or discontinue Sora at any time, with or without notice
  • Update these Terms at our discretion
  • Restrict access to certain features or jurisdictions

Because Sora is non-custodial, you retain access to your funds on the blockchain even if our services become unavailable. Your seed phrase works with any compatible wallet.

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict of law principles.

10.2 Arbitration

Any dispute arising from these Terms or your use of Sora shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if eligible. Arbitration shall be conducted in English under the rules of the International Chamber of Commerce (ICC).

10.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis, not as a class action, collective action, or representative action.

11. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sora regarding your use of our services, superseding any prior agreements.
